Adduce Terms of Use

License

An official Adduce license permits one purchaser to install and use the software for personal or internal business purposes. You may not resell, redistribute, sublicense, bypass license controls, or use Adduce to violate law or third-party rights. Public-media download features do not authorize access to paywalled, authenticated, or DRM-protected material.

Confidentiality, privilege, and your evidence

Adduce processes your evidence on your device. Adduce (NeuralLab) does not receive, store, or process your client files, media, transcripts, indexes, notes, or search queries — the software has no upload path for them and we operate no server that could hold them. Because we never handle your evidence, ordinary use of Adduce involves no disclosure of that material to us, and no question of waiver of attorney-client privilege or work-product protection can arise from our handling of it — there is no handling. The only records held on our side are the purchase and license records created at checkout (for example the purchaser email, order, and license status), enumerated under “Data processing” below.

Data processing

Outside-counsel guidelines often ask for a data-processing statement. Ours is short, because the architecture is: Adduce runs on your machine and your evidence is never transmitted to us, so NeuralLab does not act as a processor or service provider with respect to client evidence. There is no transfer of that material to us, no storage of it by us, and no sub-processor of it — because no vendor of ours ever receives it. We cannot produce, search, disclose, or delete your evidence on request; only you hold it.

One carve-out, so the statement above is exact: Adduce has a single setting that sends anything derived from your evidence off the machine — an off-by-default entity-enrichment option that looks up extracted names (a person or company name only, never a document, transcript, or file) against the public Wikidata API. It is your choice to enable it, Wikidata is not our vendor, and nothing is sent while it stays off. If your matter is sensitive enough that even a name should not leave the Mac, leave it off — and note that the Privacy Center's network monitor will show you either way.

The only personal data NeuralLab holds is the purchase and license record created when you subscribe. That record consists of the purchaser email address, the payment provider's customer and subscription identifiers, the license key, the subscription status and current period end, the product and checkout identifiers, and — once you activate the key — a random per-installation identifier used to bind the license to one Mac. It is not derived from your hardware and it carries no information about your files or your work.

Three vendors are involved in holding or transmitting that record, and none of them receives evidence: Stripe processes payments and holds the billing relationship; Cloudflare hosts the licensing service and the database that stores the record above; and Resend, where enabled, delivers the activation email. Purchases made before the move to Stripe were handled by our previous provider as merchant of record and remain subject to the terms disclosed at the time; a licence bought under one of those earlier providers still re-checks with that provider, which means the licence key (and nothing else) is transmitted to them when it does.

To ask what is held for your subscription, to correct it, or to have the purchase and license record deleted after your subscription ends, email support. Deleting that record ends the ability to re-activate the license on a new machine. This section describes how Adduce is built; it is not a certification, an audit report, or a representation that any particular regulatory framework applies to your use.

You remain responsible for the security of your own device and files — including OS-level protections such as FileVault disk encryption, screen lock, and access controls — and for meeting your own professional and ethical obligations. Nothing in these terms or in Adduce's design is legal advice, and nothing here is a guarantee of any legal outcome, including whether privilege or work-product protection applies to any particular material.

Warranties and liability

Adduce is provided as-is, without warranties to the maximum extent permitted by law. Back up important data before processing it. Liability is limited to the amount paid for Adduce, except where applicable law does not allow that limit.

Payments and refunds

Card payments are processed by Stripe, and NeuralLab sells to you directly — so purchase and refund questions come to us. A subscription bought before the move to Stripe was sold by the provider that was merchant of record at the time (Polar, or Lemon Squeezy before it), and that purchase stays subject to the terms disclosed then. Contact support with the order number for purchase, license-delivery, or refund help.
